<br />G. In 1991, a second permit transfer and succession of <br />operators was approved transferring the permit from Gold Hill <br />Mining Company to Gold Hill Ventures, a Colorado mining partner- <br />ship, and Colina Oro Molino, Inc. ("COM, Inc.") as co-permittees. <br />H. In February 1991, prior to the 1991 permit amendment, <br />COM, Inc. and Mi Vida entered into a Milling Agreement (herein <br />referred to as the "Priority Milling Agreement"), which, as <br />amended, is still in force and effect. <br />2. The status of Gold Hill Ventures Limited Partnership <br />is now a matter of dispute between the parties. Documents have <br />been executed, but the parties dispute whether the documents cre- <br />ate even a partnership, much less a limited partnership. <br />J. COM, Inc. has obtained record title to the Gold Hill <br />Mill, in which Mi Vida and Gold Hill claim an equitable interest. <br />The status of equitable title is a matter of dispute between the <br />parties to this Stipulation. <br />K. On March 27, 1992 the MLRB issued Notice of Violation <br />M-92-021 and Cease and Desist Order to Gold Hill Ventures Limited <br />Partnership and COM, Inc., jointly and severally. <br />L. The Board also issued NOV No. M-92-029 on May 29, <br />1992; and NOV Nos. M-92-028 and M-92-030 both on June 1, 1992, to <br />Gold Hill Ventures and COM, Inc., jointly and severally. <br />M. All fines assessed by the Colorado Mined Land Recla- <br />mation Board against Gold Hill Ventures, Gold Hill Ventures <br />Limited Partnership and COM, Inc. have been paid. <br />N. The parties hereto have agreed to stipulate as to the <br />correct identity of the co-permittees to operate the Gold Hill <br />Mill. <br />O. Mi Vida and COM, Inc. acknowledge that the recla- <br />mation plan ("the Plan") required by the permit and by applicable <br />State laws and regulations has not been completed and are willing <br />to assume full responsibility for the completion of the Plan. <br />P. Mi Vida and COM, Inc. have inspected the mining and <br />reclamation operation to their entire satisfaction and are fully <br />aware of the condition thereof. Both companies understand and <br />accept all of the conditions of the permit. <br />-2- <br />
