' <br />ncrTmnr.c <br />A. Charles A. Steen, Sr. (hereinafter referred to as <br />"Steen") has been involved in the accumulation of patented and <br />unpatented mining claims on and in the vicinity of Gold Hill, <br />Colorado beginning in 1958. <br />B. Richard and Gwen Fraser (hereafter collectively <br />referred to as "Fraser") contributed funds to assist Steen in the <br />construction and completion of the Gold Hill Project and Mill. <br />C. Steen, through the family corporation Mi Vida Enter- <br />prises, Inc., a Utah corporation, ("Mi Vida"), in association <br />with Cosmos Resources, Ltd. of Canada ("Cosmos"), formed a joint <br />venture partnership in 1982 called Gold Hill Ventures ("Gold Hill <br />Ventures") for purposes of exploiting the claims. Cosmos and Mi <br />Vida also called their joint venture '!Gold Hill Mining Company." <br />D. The mill which now exists on the Oscar Lode claim is <br />called the "Gold Hill Mill." <br />E. On September 7, 1983, the Mined Land Reclamation <br />Division issued Permit No. M-83-141 for mining operations at the <br />Gold Hill Mill. <br />F. In 1985, a permit transfer and succession of oper- <br />ators was approved transferring Permit No. M-83-141 to Gold Hill <br />Ventures Limited Partnership from Gold Hill Mining Co. <br />
