<br />and entered into at Hayden Colorado as of this first day of
<br />May, 1978, by and between THE TOWN OF HAYDEN, a Colorado
<br />statutory town ("Lessor"), and H-G COAL COMPANY, a Delaware
<br />general partnership ("Lessee").
<br />WITNESSETH:
<br />WHEREAS, Lessor and Lessee have entered into that
<br />certain Ground Lease Agreement (the "Lease") dated as of
<br />May 1, 1978 and covering the following described real property
<br />located in Routt County, Colorado, to wit:
<br />A triangular tract of land in the Northwest quarter
<br />of the Northeast quarter of Section 22, T6N, R88w
<br />of the 6th P.M., more particularly described as
<br />fe110W5:
<br />Commencing at the Northeast corner of Section 22,
<br />T 6N, R88w, thence South 00 degrees, OS minutes, 00
<br />seconds East for a distance of 1,316.91 feet to a
<br />point; thence North 89 degrees, 21 minutes, 41
<br />seconds west for a distance of 1,273.13 feet to the
<br />point of beginning; the point of beginning being
<br />the beginning of a description of the said trian-
<br />gular tract of land and also being the Southeast
<br />corner of the Northwest quarter of the Northeast
<br />quarter of Section 22, T6N, RBBW. From the point
<br />of beginning, thence South 88 degrees, 13 minutes,
<br />57 seconds west for a distance of 580.00 feet to a
<br />point; thence North 38 degrees, 50 minutes, 57
<br />seconds East for a distance of 882.46 feet to a
<br />point; thence South 02 degrees, 15 minutes, .OS
<br />seconds East for a distance of 670.00 feet to a
<br />point; this point being the end of the triangular
<br />tract description and also being the Southeast
<br />corner of the Northwest quarter of the Northeast
<br />quarter of Section 22, T6N, R88W; thence South 89
<br />degrees, 21 minutes, 41 seconds East for a distance
<br />of 1,273.13 feet to a point; thence North 00 degrees,
<br />OS minutes, 00 seconds West for a distance of
<br />1,316.91 feet to the Northeast Corner of Section
<br />22, T6N, R88w. The above desc r. abed triangular
<br />tract of land contains 4.50 acres, more or less.
<br />WHEREAS, Lessor and Lessee now desire to amend the
<br />Lease;
<br />NOW, THEREFORE, for and in consideraton of ten
<br />•
<br />dollars and other good and valuable consideration,~the receipt
<br />and sufficiency of which are hereby acknowledged, the parties
<br />hereto agree as follows:
