<br />THIS GROUND LEASE AGREEMENT is made and entered
<br />into at Hayden, Colorado, as of this 1st day of t1ay, 1978,
<br />by and between THE TO[+N OF IiAYDEN, a Colorado statutory
<br />town, Ifereinaf ter called "Lessor", and H-C COAL COHPAt1Y, a
<br />Delaware general partnership, hereinafter called "Lessee".
<br />NOW, THEREFORE, Lessor, in consideration of the
<br />rents, covenants, agreements, provisions and conditions
<br />hereinafter set forth to be oaid, observed, performed and
<br />fulfilled by Lessee, has leased to Lessee, and Lessee does
<br />hereby rent from Lessor, the real estate described below
<br />for the term and pursuant to the agreements of the parties
<br />contained herein unless sooner terminated as hereinafter
<br />provided.
