1 <br /> (b) The Application has been denied on or before the <br /> ' Commencement Date; or <br /> ' (c) The District's planned nanofiltration water treatment system <br /> does not become operational by the Commencement Date. <br /> ' If GJP desires to exercise this option to terminate the Lease, it shall do so by giving <br /> written notice to the District on or before five days after the Commencement Date. Upon the <br /> giving of such notice, this Lease shall terminate and the parties shall be relieved of all <br /> obligations hereunder, subject to the provisions of Paragraph 16. <br /> (iv) If GJP's operations include discharge of water from the Property into <br /> ' the Colorado River, such discharge shall occur below any District water's intake on the river. <br /> If GJP's operations include crossing any District water line with any road or underground <br /> utility or water line, the plan for the crossing shall be approved by the District, which <br /> ' approval shall not be unreasonably withheld. <br /> ' B. After the expiration of the lease term or other termination of this Lease, GJP <br /> shall assign all rights and obligations under the Well Permit to District. In addition, all water <br /> and water rights, including any lakes or pools, that may be left on or with the Property as a <br /> ' result of GJP's mining, shall belong to District. GJP shall have no further interest in or <br /> obligations under such Well Permit, water, water rights, and augmentation or replacement <br /> plan, except to the extent they are needed for the proper reclamation of the Property, in <br /> twhich case District agrees that they can be used for reclamation purposes. <br /> C. Despite anything to the contrary stated elsewhere in this or any other <br /> t agreement between the parties, GJP shall not by act or omission do or permit anything or the <br /> existence of any condition which adversely affects the quality or quantity of District's water <br /> or water rights, including without limitation water treated, processed, stored or otherwise on <br /> other property owned by District. <br /> 11. In the event District receives a bona fide offer to purchase the Property prior to <br /> expiration of the Term or other termination of this Lease and District wishes to accept such offer <br /> to purchase, District shall give to GJP the privilege of purchasing the Property at the price and on <br /> ' the terms of the offer so made. This privilege shall be given by a written notice given to GJP in <br /> accordance with the provisions of Paragraph 18, below. GJP may thereafter within thirty (30) days <br /> after giving of said notice elect to purchase the Property on the same terms and at the same price as <br /> ' set forth in District's notice. This election by GJP shall be made by written notice signed by GJP <br /> given to District in accordance with the provisions of Paragraph 18, below. If the right of first <br /> refusal is properly and timely exercised by GJP, the sale to GJP will be completed in compliance <br /> ' with the terms of the third party offer.
