Assignment by Lessee of this Lease shall be subject to <br />approval by Lessors based upon the financial, technical and operational capabilities of the <br />assignee to perform and comply with the terms hereof, but which approval shall not be <br />unreasonably withheld. Notwithstanding the restriction on assignment as forth herein, the <br />rights of the Lessee shall be freely assignable, without consent of Lessors to working <br />in!cresl eu•ners, provided, however, that such assignments would be effective only upon <br />receipt of written notice of assignment by Lessors. <br />10. Tazcs. Lessee shall pay all ad valorem or other property taxes levied and <br />asxssal against the Lcaxd Premixs. Lessee shall also pay all production, ezci:.c, <br />severance and other razes that now or hereafter may be levied and computed on the <br />amount or value of coal which is mined and sold or otherwise disposed of from the <br />I,cased Premixs. <br />1. Lieru. Lesser shall not cause or permit a lien or rncumbrance to attach or <br />remain thereon on account of any deht for materials or services furnished to Lessee for <br />operations pursuz .t to this Lease; provided, however, that Lessee shall not be rrquin•j <br />to remove any such lien for materials or services so long as it is contesting, in good fait'r, <br />the validity or the amount thereof. <br />!2. Indcntnification. Lessee agrces to indemnify and save Lessors harmlc~s <br />from and against arty and all losses, claims, damages, and liabilities arising or charged to <br />arise as a result of operations by Lessee upon the Leased Premises or otherwise pursu:~:t <br />to this Lease, including without limitation, injuries to persons, damage to property, licas <br />claimed or arising out of work performed or things fumished, or failure to comply, or <br />c'aim~ !.r~failure to comply, with applicable governmental laws, regulations, licerses sod <br />permits, including tnose pertaining to protection of the environmental and reclamation of <br />land. This indemnific~lion shall survive Icrm~!ration of this Lease, notwithstanding any <br />other pm~~ision hcrcol. <br />13. Default.
