Assignment by Lessee of this Lease shall be subject to <br />approval by Lessors based upon the financial, technical and operational capabilities of the <br />assignee to perform and comply with the teens hereof, but which approval shall not be <br />unreasonably withheld. Notwithstanding the restriction on assignment as forth herein, the <br />rights of the Lessee shall be freely assignable, without consent of Lessors to work+ng <br />interest owners, provided, however, that such assignments would be effxtive only upon <br />receipt of written notice of assignment by Lessors. <br />]0. Taxes. Lesstx shall pay all ad valorem or other property taxes levied and <br />assessed against the Leased Premises. Lessee shall also pay all production, excise, <br />severance and other tales that now or hereafter may be levied and computed on the <br />amount or value of coal which is mined and sold or otherwise disposed of from the <br />Leased Premises. <br />11. Liens. Lessee shall not cause or permit a lien or encumbrance to attach or <br />remain thereon on account of any debt (or materials or services furni~hed to Lessee for <br />operations pursuant ro this Lease; provided, however, that Lessee shall not be required <br />to remove any such lien for materials or setv,;,es so Fong as it is contesting, in good faitfi, <br />the validity or the amount thereof. <br />11. Indemnification. Lessee agrees to indemnify and save Lessors harmless <br />from and against any and all losses, claims, damages, and liabilities arising or charged to <br />arise as a result of operations by Lessee upon the leased Premises or otherwise pursuant <br />to this Lease, including without limitation, injuries to persons, damage to property, liens <br />claimed or arising out of work performed or things furnished, or failure to comply, or <br />claims of failure to comply, with applicable governmental laws, regulations, licenses and <br />permits, including those penaining to protection of the environmental and reclamation of <br />land. This indemnification shall survive termination of r;iis Lease, notwithstanding any <br />other provision hereof. <br />13. Default. If any breach or default by the Lessee of any term or obligation <br />of this Lease is not cured within sixty (60) days mailing of written notice to Lessee of <br />such breach or default, mailed by certified m..il return receipt requested, to the address <br />5 <br />
