<br />DEED
<br />IVAL & ED YOUNG, INC., a Colorado corporation, whose
<br />address is Mack, Colorado 81525, County of Mesa and State of
<br />Colorado, for the consideration of TEN DOLLARS AND OTHER VALUABLE
<br />CONSIDERATION, in hand paid, hereby sells and conveys to SHERIDAN
<br />ENTERPRISES, INC., a California corporation, whose street address
<br />is 9795 East Hampden Avenue, No. 350, City of Denver, County of
<br />Denver and State of Colorado, the following real property in the
<br />County of Garfield and State of Colorado, to wit:
<br />TRACT A:
<br />Lots 1, 2, 3, 4, 5, 6, 7, 8, 9, 10 and NE;SW;
<br />• in Section 29, Township 7 South, Range 102 West,
<br />Sixth P.M.;
<br />TRACT B:
<br />Parcels 1 and 2 described on Exhibit I, excluding
<br />therefrom the herein below described Tract C;
<br />TRACT C:
<br />Lots 21 and 25, Section 31 and Lot 4, Section
<br />32, all in Township 7 South, Range 102 West,
<br />Sixth P.M.,
<br />with all its appurtenances and warrants the title to Tract A and
<br />Tract B, but gives no warranty as to Tract C, it being the
<br />intention of the Grantor that as to Tract C this deed be construed
<br />as a bargain and sale deed passing after acquired title of the
<br />Grantor pursuant to C.R.S. 1973, as amended, 38-30-115, subject
<br />to, as to all three Tracts, building and zoning regulations, 1980
<br />taxes due and payable in 1981, assessments not now due and payable,
<br />restrictions and easements of record, existing irrigation ditches,
<br />severed oil, gas and mineral interests and subject to the reservation
<br />- hy--Granter by this Deed of all water and water rights, oil, gas,
<br />hydrocarbons and minerals of every nature and character whatso-
<br />ever ow known or that may be subsequently discovered or
<br />subsequently classified as a mineral. As to Tract A, this Deed
<br />is also subject to a prior conveyance of a portion of such
<br />property to the Department of Highways recorded in Book 423
<br />at Page 97 of the Garfield County, Colorado records.
