<br />THIS AGREEMENT is made and entered into tt,is 12th clay of
<br />April , 1982 , by and between CFfiI S'PEEL CORPORATION, a
<br />Colorado corporation (hereinafter •CF6I') and Mid-Continent
<br />Resources, Inc., a Delaware corporation (hereinafter
<br />'Lessee').
<br />W I T N E S S E T H
<br />I. RECITALS
<br />CF&I is tt,e owner of those unpatented mining claims situate
<br />in Garfield County, Colorado, which claims, alony with tl,e
<br />extent of CF&I's ownership therein, are more particularly
<br />described as follows (hereinafter 'Premises'):
<br />Tiyer Placer Claims 2-6 inclusive,
<br />Lynx Placer Claiu~s 2-6 inclusive,
<br />Lion Placer Claims 2-4 inclusive,
<br />. containing 260 acres more or less.
<br />The Premises are depicted on the map attached I~ereto and i~icor-
<br />porated herein by this reference as Exhibit A.
<br />II. CONSIDERA'PION AND PURPOSE
<br />In consideration of tt~e royalties, promises, covenants and '
<br />agreements contained lierei[-, CF6I does hereby grant, demise,
<br />lease and let exclusively unto Lessee the Premises for ti,e pur-
<br />poses of surveying for, exploring for, prospecting foc, sampl-
<br />ing, drilling for, developing, mining (whethec by uncleryround,
<br />strip or open pit), stockpiling, removing, st,ippiny, process-
<br />ing, and marketing all grades and types of limestone; toyett,ec
<br />with the right to enter upon, use and affect tl,e Premises and
<br />so much of the surface thereof as may be reasonably necessary,
<br />convenient or suitable to effect the purposes of ~tl,is Lease;
<br />the riyl,t to construct, install, utilize, operate, mai,itain,
<br />repair, replace acid relocate facilities necessary or reasonably
<br />convenient for the extraction and marketing of limestone, in-
<br />cluding buildings, roads, excavations, shafts, dumps, drains,
<br />ditches, canals, ponds, reservoirs, haulayeways, power lines,
<br />conveyors; the right to use all easements and rights-of-way to
<br />which CF6I may be entitled for ingress and egress to and from
<br />the Premises; reserving unto CFSI all other riyt,ts to possess,
<br />use and occupy the Premises without interfering witl, Lessee's
<br />operations or activities thereon, includiiiy, without li[nita-
<br />tion, the right to use the surface thereof and the right to
<br />explore for, mine and remove all non-lii~~estone minerals in
<br />accordance with tt,e provisions of Section XII below.
