Lessee shall . <br />not be prohibited, without such consent, from executing <br />~ conveyances of carved out production payments, nor shall <br />Lessee be prohibited, without such' consent, from merging or <br />consolidating with another corporation by merger or sale and <br />purchase whereby the surviving corporation, St if is not the <br />Lessee, acquires ell or substantially ell of Lessee's assets <br />and assumes Lessee's obligations hereunder, provided the <br />surviving corporation shell be financially worth more in net <br />assets than Lessee, and provided Lessor receives prior <br />written notice of any such merger or consolidation with <br />proof as to the financial net assets of such surviving <br />corporation. Such merger or consolidation shall relieve <br />Lessee from any further Iiability or obligation under this <br />Lease. Any transfer by operation or process of law, whether <br />in a proceeding at law or in equity, or in bankruptcy, or in <br />insolvency, shell be•deemed an assig omen[ within the meaning <br />- 23 - (Rev. 5/86) <br />
