Cancellation shall become effective thirty days from receipt of notification by Operator. Reclamation activities, other than revegetation, shall be complete within six months of the effective date of cancellation. In the event that the Owner sells or relocates the scales to another location, this Ingress/Egress Access Agreement will become subject to the terms of the written notice of cancellation by the Owner. In the event of sale of property or operations by either party, this agreement will become null and void. Anew agreement may or may not be reached between the new Owner(s) and/or Operator(s). This agreement is transferrable only by consent_agreement of both the Owner and Operator. SECTION THREE OPERATIONS Operator shall conduct its operation in .a good and workmanlike manner, and' fully comply with all laws and regulations, federal, state and local: SECTION FOUR COMPENSATION The Owner's compensation for Ingress/Egress Access Agreement will be the fee charged for the use of the scales. The scale fee will be determined and agreed upon between Owner and Operator. A minimum annual fee will not be assessed for the Ingress/Egress Access Agreement by the Operator. SECTION FIVE INDEMNIFICATION OF LESSOR Operator agrees to indemnify and hold harmless Owner against any and all liability on all claims for damages and injuries to persons or property that are claimed to have resulted from the activities of omission or commissions resulting by the operations of the Operator, its agents, employees or third party during the term thereof. SECTION SIX SUBLEASES Operator does not have the right to assign this agreement without prior written consent of Owner.
