other that normal wear and tear and damage due to the
elements .and fire, to gates, bridges, roads, culverts,
cattle guards, fences, dams, dikc3 or other facilities.
All damag,� in excess of ordinary wear and tear, damage
duu to ':he elements and fire excepted, shall be
reported i:o Surface Owner within twenty-four (24) hours
and shall, weather permitting, be repaired by Cyprus as
soon as Js practicable to_ as nearly as possible the
condition existing prior to such damage;
4 . Compensation. Cyprus shall compensate Surface Owner at the
address shown below the sum of Five Fiu.adred and no/100
Aollarc ($500. 70) se initial consideraLiVIL for the rights
and privileges granted to Cyprus hereunder, which amount
shall be due a-nd payable within thirty (30) days after the
effective dat: hereof. In addition to the initial
consideration, Cyprus shall further compensate Surface Owner
in the event Cyprus should conduct a seismic survey across
the Lands, the Surface owner shall be compensated the sum of
Three Hundred and no/100 Dollars ($300.00) for each such
seismic survey; and
Surface owner accepts the compensation as provided for in
this paragraph 4 as full and complete satisfaction for the
use made of the Lands by Cyprus hereunder and damages, if
any, occaoionei thereby, provided however, Cyprus aliall
compensate surface owner's Tenant Farmer for any crop damage
resulting from Cyprus' operation.
5. Gates. Cyprus agrees to keep all gates on the Lands open or
cloocd as founi. The parties mutually agree to keep all
gates locked ir.. such a manner so as to permit access by both
Surface Owner and Cyprus at any time, either by a double
lock system or otherwise. (W rj.ia agrees to limit access to
the Lands, ir..zluding the distribution of keys to any
lock (e) , to those employees, agents, licensees, contractors,
subcontractors and invitees of Cyprus who are engaged in
Cyprus , cperatinins on the Lands.
6. Inde=1 fication. Cyprus will hold harmless and fully
inden4:i--y Surface owner against all claims or demands of any
kind or nature which may be made upon him or against his
interest in th,:: Lands for, er on account of , any debt or
