Schlage shall save, defend, indemnify, and hold <br />harmless Property Owner from any and all liabilities which <br />Property Owner may incur as a result of the activities performed <br />by Schlage on the Property under this Agreement. <br />9. The rights and obligations of the parties to this <br />Agreement shall be binding upon and inure to the benefit of the <br />parties and their successors and assigns. <br />10. This Agreement supersedes any and all previous <br />agreements between Schlage and Property Owner concerning access <br />to and use of the Property. This Agreement may be amended or <br />added to only in writing and with the written consent of the <br />parties to this Agreement. <br />11. This Agreement shall remain in effect: (a) for a <br />period of five years from the effective date stated at the <br />beginning of the Agreement, ~ (b) until the CDPHE has terminated <br />the Compliance Order on Consent or has notified Schlage in <br />writing that no further activities on the Property are required <br />under the Compliance Order on Consent -- whichever occurs later. <br />Within 18o days after the termination of this Agreement, Schlage <br />shall remove from the Property all equipment and materials <br />installed and/or used in connection with this Agreement.
