during which the Effective Date falls bears to the total number of days in such month. <br /> 6.3 Rent is the base amount due and all other costs and expenses that are Lessee's <br /> obligation under this Lease are in addition to Rent. It is the express intent of the parties that Lessor <br /> shall net at least the Rent with no deductions. <br /> 6.4 If this Lease should commence on a date other than the first day of a calendar <br /> year or terminate on a date other than the last day of a calendar year,percentage rent for such <br /> fractional part of the calendar year following the Commencement Date or preceding the termination <br /> date,as the case may be,will be prorated to account for the partial year. Upon the termination of this <br /> Lease,Lessee must make a payment of Rent the final month or partial calendar month of the term of <br /> this Lease determined in accordance with(and subject to)the provisions herein. <br /> 6.5 Lessee shall not reduce,offset or withhold any Rent for any reason except as <br /> expressly provided herein. <br /> 6.6 It is understood that the Rent is payable on or before the first(1st)day of each <br /> calendar month. In the event any rental or other amount owed to Lessor is not received by Lessor <br /> before the date that is 5 days after such amount's due date,for any reason whatsoever,or if any <br /> payment for such an amount is by check that is returned for insufficient funds,then in addition to the <br /> past due amount,Lessee must pay to Lessor one of the following(the choice to be at the sole option <br /> of the Lessor unless one of the choices is improper under Applicable Laws,in which event the other <br /> alternative will automatically be deemed to have been selected): (a)a late charge in an amount equal <br /> to ten percent(10%)of the rental or other amount then due,in order to compensate Lessor for its <br /> administrative and other overhead expenses;or(b)interest on the rental or other amount then due at <br /> the maximum contractual rate which could legally be charged in the event of a loan of such amount to <br /> Lessee(but in no event to exceed 1.5%per month), such interest to accrue continuously on any <br /> unpaid balance during the period commencing with the due date of such rental or other amount and <br /> terminating with the date on which Lessee makes full payment of all amounts owing to Lessor at the <br /> time of such payment. Any such late charge or interest payment is payable as additional rental under <br /> this Lease,cannot be considered as a deduction from percentage rent,and is payable immediately on <br /> demand. If any payment for rental or other amount owed to Lessor(including,without limitation,any <br /> amounts owed under the terms of this Article 4,or under Article 6,Article 7,or Article 8 below)is by <br /> check that is returned for insufficient funds, Lessee must immediately make the required payment to <br /> Lessor in good funds;moreover,Lessee must also pay to Lessor all other amounts specified by the <br /> terms of this Lease,plus an additional fee of$50.00 to compensate Lessor for its expense and effort in <br /> connection with the dishonored check. <br /> 6.7 If Lessee fails in two(2)consecutive months(or any three months in any one <br /> year period)to make Rent payments within five(5)days after due,Lessor, in order to reduce its <br /> administrative costs,may require,by giving written notice to Lessee(and in addition to any late <br /> charge or interest accruing as provided herein,as well as any other rights and remedies accruing <br /> pursuant to this Lease,or any other provision at law),that Rent is to be paid quarterly in advance <br /> Page 5 of 13 <br />
