(1) All other rights and privileges that are incidental to or that may be useful,desirable or <br /> convenient to Lessee in the exercise of any or all of the rights hereinabove set forth that are not in <br /> conflict with applicable state,federal or local laws,ordinances,rules and regulations. <br /> 4. IERM. The Term of this Lease shall commence on October 1,2025,and shall, subject to <br /> Lessee's right to terminate as set forth in Paragraph 14 below,and to Lessor's right to terminate as set <br /> forth in Paragraph 15 below,continue for an initial period of two(2)years from said date,which <br /> initial term shall terminate at midnight on May 31,2027(the"Initial Term"),unless Lessee exercises <br /> its option to extend the Initial Term for an additional period of thirty(30)years,which extended term <br /> shall be subject to said Lessee's and Lessor's respective rights to terminate(the"Extended Term").1 <br /> Provided Lessee is not in breach of the terms of this Lease,Lessee may extend the Initial Term of this <br /> lease to the Extended Term by giving Lessor written notice that it is exercising its option to extend <br /> within thirty(30)days prior to the expiration or termination of the Initial Term. <br /> 5. DAMAGES. Lessee shall pay Lessor reasonable compensation for any damages to fences, <br /> gates,roads,existing buildings or other tangible improvements,timber,crops or livestock resulting <br /> from Lessee's operations on the Premises,but Lessee shall not be liable for consequential, special or <br /> incidental damages such as,but not limited to,loss of opportunity or loss of future profits. The <br /> determination of reasonable compensation for damages shall be mutually agreed upon by the parties <br /> hereto;but if the parties are unable to agree,then each shall appoint at its own expense a qualified <br /> appraiser to separately appraise the applicable amount of damages. The average of such two(2) <br /> appraisals shall be the basis of compensation and shall be binding on both parties. This Lease shall <br /> not interfere with the Lessor's right to harvest and sell timber from the Premises as long as such <br /> harvesting and sale of timber does not interfere with Lessee's development or mining operations on <br /> the Premises. <br /> 6. RENT. Lessee shall pay Lessor annual rent in the amount of Four Hundred Twenty <br /> Thousand and 00/100 Dollars($420,000.00)payable in advance in twelve equal monthly installments <br /> of Thirty-Five Thousand and 00/100 Dollars($35,000.00) ("Rent"). <br /> 6.1. Rent accrues from the Effective Date,and is payable to Lessor,at Lessor's address <br /> or at such other address as Lessor may specify in writing to Lessee. <br /> 6.2 Lessee must pay to Lessor Rent in monthly installments in the amounts specified <br /> in paragraph 6 of this Lease. The first such monthly installment is due and payable on or before the <br /> Effective Date and shall be applied to the first(1st)installment of Rent under this Lease,and <br /> subsequent installments are due and payable on or before the first(1st)day of each succeeding <br /> calendar month during the Lease Term;provided that if the Effective Date is a date other than the first <br /> day of a calendar month,Lessee must pay on or before such date as Rent for the balance of such <br /> calendar month a sum equal to that proportion of the Rent specified for the first full calendar month as <br /> herein provided,which the number of days from the Effective Date to the end of the calendar month <br /> 1 Midnight means the moment twenty-four(24)hours lapses on said date. <br /> Page 4 of 13 <br />
