LEASE AGREEMENT <br /> This Lease Agreement is made this day of Fe b rvdr , 2025 (the <br /> "effective date")by and between Denver Julesburg Water Resourc6 Partners, LLC, a Colorado <br /> limited liability company ("DJWRP") and Holcim-WCR, Inc. ("Holcim"). <br /> RECITALS <br /> WHEREAS, DJWRP possesses or otherwise controls recharge credits associated with Case No. <br /> 2012CW179, Water Division 1, Weld County, Colorado (DJWRP Recharge Credits); <br /> WHEREAS, Holcim desires to lease DJWRP Recharge Credits equivalent to a total volume of 7 <br /> acre-feet accruing at the confluence of the South Platte and Cache la Poudre Rivers during the <br /> month of October 2025; <br /> NOW, THEREFORE, for good and valuable consideration, the receipt and sufficiency of which <br /> is hereby acknowledged, and the mutual covenants contained in this Lease Agreement, DJWRP <br /> and Holcim hereby agree as follows: <br /> AGREEMENTS <br /> 1. RECHARGE CREDITS DELIVERY AND ACCOUNTING: DJWRP will make <br /> available to Holcim DJWRP Recharge Credits equaling a total volume of 7 acre feet to be <br /> delivered to the South Platte River at the Cache la Poudre River confluence during the <br /> month of October 2025 at an average daily rate of 0.11 cubic feet per second(cfs)per <br /> day. The delivery point is within DJWRP's recharge Administrative Reach 3 as defined <br /> in Case No. 2012CW179, Water Division 1, Weld County, Colorado and more generally <br /> described as from the Lower Latham Ditch headgate, downstream to the confluence of <br /> the Cache la Poudre River and the South Platte River. DJWRP shall be responsible for <br /> the accounting and shall report the amount delivered in its monthly accounting for Case <br /> No. 2012CW179, Water Division 1, Weld County, Colorado. <br /> 2. PAYMENT: Holcim agrees to pay $800 per acre foot of DJWRP Recharge Credits. <br /> Payment must be received in advance of any deliveries. <br /> 3. ADMINISTRATIVE APPROVALS: Holcim will be responsible for any administrative <br /> approvals required to use DJWRP's recharge credits for augmentation purposes. This <br /> may include completion of a Substitute Water Supply Plan (SWSP). <br /> 4. TERM: The term of this Lease Agreement shall be for the 2025 water year. <br /> 5. WARRANTY: DJWRP warrants that it has available DJWRP Recharge Credits <br /> equivalent to 7 acre feet. <br /> 6. ADDITIONAL DOCUMENTS: The Parties agree to execute any additional documents <br /> and take any additional action necessary to carry out this Lease Agreement. <br /> 1 <br />
