7. NOTICES: Any notice required or permitted by this Lease Agreement shall be in writing <br /> and shall be deemed to have been sufficiently given for all purposes if sent by certified or <br /> registered mail, postage and fees prepaid, addressed to the Party who such notice is <br /> intended to be given at the address set forth below, or at such other address as has been <br /> previously furnished in writing to either Party. Such notice shall be deemed to have been <br /> given when deposited in the U.S. Mail. <br /> Denver Julesburg Water Resource Partners, LLC <br /> c/o Mark Goldstein <br /> P.O. Box 273180 <br /> Fort Collins, CO 80527 <br /> HOLCIM-WCR, INC. <br /> c/o Neil Whitmer <br /> 1687 Cole Blvd, Suite 300 <br /> Golden, CO 80401 <br /> 8. ENTIRE AGREEMENT: This Lease Agreement represents the complete agreement <br /> between the Parties. Any amendments, modifications, or additions shall be made in <br /> writing and signed by both Parties. This Lease Agreement shall inure to the benefit of <br /> and be binding upon the parties. <br /> 9. COUNTERPARTS: This Lease Agreement may be executed in several counterparts and <br /> by facsimile or electronic signature, and so executed shall constitute one Agreement <br /> binding on all Parties even though all Parties have not signed the same counterpart or the <br /> original signatures are on separate documents. Any counterpart of this Agreement which <br /> has been attached to it separate signature pages, which altogether contain the signatures <br /> of all the Parties shall be deemed a fully executed instrument for all purposes. <br /> 10. DISPUTE: Any litigation between the Parties will be in the Weld County District Court. <br /> The prevailing Party in any such litigation, as determined by the Court, shall be awarded <br /> reasonable attorneys' fees, expert witness fees, and costs. <br /> 11. CHOICE OF LAW AND INTERPRETATION: This Lease Agreement will be <br /> interpreted and enforced under Colorado Law. <br /> IN WITNESS WHEREOF, the Parties have caused this Lease Agreement to be executed by their <br /> Managers. <br /> Dated the "effective date"above. <br /> 2 <br />
