It is fuctier acknowledged that any eartnmoving activ- <br /> ities of any significance in Vallejo Gulch, whicn is the location <br /> over which the Emma No. 2 Mining Claim has been located, nay he <br /> carefully scrutinized by the State of Colorado to determine whether <br /> or not such activities could result in a change in the historic <br /> pattern of drainage thrcugn Vallejo Gulch. The parties agree to <br /> assess the level of work accordingly to determine wnetner or not a <br /> permit is required from ?itkin County for any road construction <br /> activities on the Washington No. 2 Mining Claim. This shall be done <br /> as soon as practicable. Furthermore, ASC intends to remove the too <br /> terminal and motor room of Lift No. 4 from its present location <br /> which could have an impact on the suitability of that portion of the <br /> Washington No. 2 for construction of the subject road. In the event <br /> the parties jointly determine that access across the Washington <br /> No. 2 Mining Claim can be accomplished in licht of the concerns set <br /> forth herein, ASC hereby Grants AMMC a restricted license across the <br /> Washington No. 2 Mining Claim for purposes of accessing the portal <br /> • on the Emma No. 2 Mining Claim. This restricted license shall <br /> extend for the term of this agreement and shall be for AMMC to use <br /> in connection with its mining operation on the Emma No. 2 Mining <br /> Claim. It is not assignaole in any way and is restricted solely to <br /> AMMC. <br /> 3. Dry Rocm/Shorn. The parties acknowledge that AMMC needs to <br /> construct a structure that will contain an area for a small snop, <br /> for small tool storage and a dry place for AMMC worRers to eat and <br /> store mining clothes and personal equipment. The size of the struc- <br /> ture is anticipated to he l'o feet by 32 feet with 12 foot walls and <br /> with a pitched roof 19 feet above the existing grade. AMMC agrees <br /> that such structure shall meet all applicable legal requirements for <br /> mine support buildings. Both parties are concerned with the visual <br /> compatibility of the proposed structure with both the mining opera- <br /> tion of AMMC and the skiing operation of ASC. The parties agree to <br /> coordinate with one another in an effort to have the structure meet <br /> the different visual needs of each party and to coordinate with one <br /> another in an effort to locate the structure in such a place that <br /> will minimize the effect on the skiing guests of ASC and its opera- <br /> tions. AMMC further agrees to coordinate with the U.S. Forest Serv- <br /> ice with respect to the location, construction, materials to be <br /> used, and size of the subject structure. <br /> 4. Tailings. AMMC agrees that it will dispose a significant <br /> majority of tailings that are created in its mining operation within <br /> existing stopes and drifts that are underground and accessible from <br /> the Compromise Tunnel. It is understood that some amount of <br /> tailings may have to be disposed of outside of the mine portal. In <br /> the event there is such disposal, AMMC agrees to use its best <br /> efforts to minimize any impact on the skiing terrain of the Silver <br /> Queen ski run. ASC hereby grants to AMMC the authority to use any <br /> stopes, tunnels and drifts that it has an interest in adjacent to <br /> the Compromise Tunnel for the purpose of disposing such tailings. <br /> -3- <br />
