SECTION 4.1. Taxes. Grantee shall pay all real property taxes levied and assessed <br /> against the Property during the term of this Agreement and all personal property taxes levied and <br /> assessed against Grantee's personal property located on the Property during the term of this <br /> Agreement. <br /> SECTION 4.2. Utilities. Grantee shall be responsible for the payment of all utilities <br /> required for its operations on the Property. <br /> ARTICLE V <br /> COMPLIANCE WITH LAWS <br /> SECTION 5.1. General. Grantee's operations on the Property and the use thereof shall <br /> be in accordance with good and accepted mining practices and in material compliance with all <br /> federal, state, county and local laws, statutes, ordinances, zoning regulations, and permits. <br /> SECTION 5.2. Improvements and Reclamation. Grantee agrees that once it has <br /> permanently ceased its Operations, it will be solely responsible for the removal of all building <br /> and structures, and improvements of any nature on the Property ("Improvements"), and the <br /> Property shall be reclaimed as required by the CDRMS and other applicable laws and <br /> regulations. <br /> SECTION 5.3. Access after Termination. Notwithstanding a valid forfeiture, surrender, <br /> or other termination of this Agreement, Grantee shall nevertheless have the continuing right of <br /> entry upon the Property to do any and all reclamation work required of Grantee to obtain full <br /> bond release. <br /> SECTION 5.4. Inspection. Upon ten (10) days prior written notice to Grantee, Grantor, <br /> or her representative, duly authorized by her in writing, shall be permitted to enter the Property <br /> for the purpose of inspection, at their own risk and expense. <br /> ARTICLE VI <br /> INDEMNIFICATION AND INSURANCE <br /> SECTION 6.1. Indemnity. Grantee shall indemnify, defend and hold harmless Grantor, <br /> from and against any and all claims arising from Grantee's use of the Property or from the <br /> conduct of Grantee's business or from any activity, work, or other things done, permitted or <br /> suffered by Grantee in or about the Property. <br /> SECTION 6.2. Insurance Grantee shall maintain with respect to the Property at all times <br /> during the term of this Agreement, a current_paid policy or policies of general comprehensive <br /> liability and property damage insurance insuring Grantor and Grantee against any liability arising <br /> out of the use, occupancy, or maintenance of the Property and all areas appurtenant thereto used <br /> or enjoyed by Grantee. <br /> ARTICLE VII <br /> 3 <br />
