r <br /> Ed, <br /> I got your call about the Baseline pit lease. <br /> The lease, signed by Eiberger and the Baurers, was recorded in the Weld County real <br /> estate records in 2004. The Baurers sold their property to Aggregate Industries three <br /> years ago. We had several discussions with Al about the lease while the Baurers still <br /> owned the property, and Hall-Irwin has actively managed the reclamation on the <br /> property after the purchase, without interference from Al. <br /> In Colorado, buyers take title to real estate subject to all matters of record, and <br /> subject to all existing matters they know about before the purchase. I seriously doubt <br /> that Al will take the position that they don't have to honor the lease. <br /> The law is very clear, and there are dozens of Colorado cases, as well as state <br /> statutes, that back this up. <br /> Let me know if you'd like additional backup for this. <br /> Regards, <br /> Pete Ziemke <br /> M1997-058 EXHIBIT B <br />
