The Application is granted to the extent set forth herein, nunc pro tune to the <br /> Petition Date. <br /> 2. The Debtors are authorized, pursuant to sections 327 and 328(a) of the Bankruptcy <br /> Code, Bankruptcy Rules 2014 and 2016, Local Rules 2014-1 and 2016-1, and the General Order, <br /> to employ and retain EVA as their sale advisor in accordance with the terms and conditions set <br /> forth in the Engagement Letter, effective n nnc pro tunc to the Petition Date, and to pay fees and <br /> reimburse expenses to EVA on the terms and at the times specified in the Engagement Letter. <br /> 3. The provisions set forth in the Engagement Letter are approved in all respects <br /> except as limited or modified herein. <br /> 4. All of EVA's compensation as set forth in the Engagement Letter, including, <br /> without limitation, the Fee and Expense Structure, is approved pursuant to section 328(a) of the <br /> Bankruptcy Code, and EVA shall be compensated and reimbursed pursuant to section 328(a) of <br /> the Bankruptcy Code in accordance with the terms of the Engagement Letter, subject to the <br /> procedures set forth in the Bankruptcy Code, the Bankruptcy Rules, the Local Rules, the General <br /> Order, and any other applicable orders of this Court. <br /> 5. None of the fees payable to EVA shall constitute a "bonus" or fee enhancement <br /> under applicable law. <br /> 6. EVA shall file fee applications for interim and final allowance of compensation and <br /> reimbursement of expenses pursuant to the procedures set forth in sections 330 and 331 of the <br /> Bankruptcy Code and any orders of this Court;provided, however, that the fee applications filed <br /> by EVA shall be subject to review only pursuant to the standard of review set forth in section 328 <br />
