To the best of the Debtors' knowledge and except as disclosed herein and in the <br /> Schwartz Declaration, EVA is a "disinterested person" within the meaning of section 10](14) of <br /> the Bankruptcy Code, as required by section 327(a) of the Bankruptcy Code and does not hold or <br /> represent an interest materially adverse to the Debtors' estates. <br /> 8. As set forth in further detail in the Schwartz Declaration, EVA has certain <br /> connections with parties-in-interest in the chapter 1 1 cases. All of these matters, however, are <br /> unrelated to the chapter 1 I cases. The Debtors and EVA do not believe that any of these matters <br /> represent an interest materially adverse to the Debtors' estates or otherwise create a conflict of <br /> interest regarding the Debtors or the chapter 11 cases. <br /> 9. To the extent that any new relevant facts or relationships bearing on the matters <br /> described herein during the period of EVA's retention are discovered or arise, EVA will use <br /> reasonable efforts to file promptly a supplemental declaration, as required by Bankruptcy Rule <br /> 2014(a). <br /> Applicable Authority <br /> 10. Section 327(a) of the Bankruptcy Code provides that a debtor, subject to court <br /> approval: "May employ one or more attorneys, accountants, appraisers, auctioneers, or other <br /> professional persons, that do not hold or represent an interest adverse to the estate, and that are <br /> disinterested persons, to represent or assist . . . in carrying out•. . . duties under [the Bankruptcy <br /> Code]."Section 1107(b) of the Bankruptcy Code elaborates upon section 327(a)of the Bankruptcy <br /> Code and provides that "a person is not disqualified for employment under section 327 of [the <br /> Bankruptcy Code] by a debtor in possession solely because of such person's employment by or <br /> representation of the debtor before the commencement of the case." <br /> 10 <br />
