DEED OF CONSERVATION EASEMENT
<br /> THIS DEED OF CONSERVATION EASEMENT is made this 2=day of December,
<br /> 2005,by NEW GP RANCHES,LLC, a Colorado limited liability company,having an address at
<br /> DPC Development Company, 7000 E. Belvue Ave. #300, Greenwood Village, Colorado 80111
<br /> p ("Grantor"), in favor of THE GREENLANDS RESERVE, a Colorado charitable nonprofit
<br /> corporation, having an address at 26 South Tejon, Suite 208, Colorado Springs, Colorado 80903
<br /> ("Grantee").
<br /> RECITALS

<br /> A. Grantor is the sole owner in fee simple of certain real property,together with attached
<br /> mineral rights, located in Prowers County, Colorado, more particularly described in Exhibit
<br /> attached hereto and incorporated by this reference(the"Property").
<br /> B. The Property is subject to that certain Agreement for Dry-Up and Grant of Easement
<br /> between GP Ranches,LLC and ContiBeef LLC,dated June 4,2004 and recorded on June 4,2004 in
<br /> the real property records of Prowers County, Colorado, at Reception No. 504494 ('Dry-Up
<br /> Agreement"), and that certain Interruptible Supply Agreement between GP Ranches, LLC and
<br /> ContiBeef LLC, dated June 4, 2004 and recorded on June 4, 2004 in the real property records of
<br /> Prowers County,Colorado,at Reception No.504495("Interruptible Supply Agreement"),as set
<br /> forth on Schedule B-2 to the title insurance policy issued by Stewart Title Guaranty Company.
<br /> C. The Property possesses natural,scenic,open space,wildlife,and environmental values
<br /> (collectively "Conservation Values") of great importance to Grantor, Grantee, the people of
<br /> Prowers County and the people of the State of Colorado which are worthy of protection in
<br /> perpetuity.Grantor and Grantee recognize that economic development of the Property would have an
<br /> adverse impact on and greatly impair these Conservation Values. The Conservation Values of the
<br /> Property include, but may not be limited to the following:
<br /> Agricultural—The Property has historically been used for traditional agricultural and
<br /> ranching practices.
<br /> Scenic—The Property is located in Prowers County,Colorado and is characteristic of
<br /> that landscape with broad vistas and open landscapes.The Property also provides a
<br /> scenic view for travelers along Highway 50.
<br /> Open Space—The Conservation Easement will prevent subdivision of the Property
<br /> for the purpose of industrial, commercial or residential development. Such
<br /> development displaces traditional agricultural land and impacts open landscape.
<br /> Wildlife—A variety of wildlife have been observed on the Property. They include
<br /> migratory birds,quail,wild turkey,white-tail and mule deer,red fox,and coyote.The
