Road Association Agreement <br /> For the Pennsylvania Mountain Road Association <br /> 17. DeIegation of Authority. Landowners are expressly authorized to delegate their rights and <br /> duties under this Agreement to a third-party of their choosing, so long as such delegation is <br /> evidenced by a written delegation of authority. Future and successor representatives of the Road <br /> Association shall be determined by a majority vote of the RoadAssociation members that chose to <br /> vote on the matter. <br /> 18. Actions of the Road Association.Any action required to be taken by or on behalf of the Road <br /> Association may be taken after a vote of the members. Voting may occur by U.S.Mail or email. A <br /> majority for purposes of this Agreement means a majority of landowners who cast their votes <br /> within fourteen (14)calendar days after the notice of a vote is mailed or emailed. A third-party, <br /> including the United States Forest Service, may rely on a representation made by the Road <br /> Association Agent,without the need to otherwise confirm any representation made by the Road <br /> Association Agent. <br /> ARTICLE FIVE - RIGHTS AND OBLIGATIONS <br /> 19. Limitation of Liability. The landowners shall not be personally liable for any obligations, <br /> liabilities, debts or losses of the Road Association,whether arising in tort,contract or otherwise, <br /> except as otherwise required by law. The Road Association exists solely as a conduit for <br /> information and agreement between the Landowners and the United States Forest Service for use <br /> of Forest Service Road 698. <br /> ARTICLE SIX - DISSOLUTION AND TERMINATION <br /> 20. Dissolution. The Road Association shall automatically be deeded dissolved when none of <br /> the landowner's use Forest Service Road 698,or the landowners determine there is no continuing <br /> need for the Road Association. <br /> 21. Effect of Dissolution. Upon dissolution,the Road Association shall continue to exist as a <br /> road AsauciaUun and shall xioL carry on any business except as is apprupelate io wind up aula <br /> liquidate its affairs. <br /> ARTICLE SEVEN - MISCELLANEOUS PROVISIONS <br /> 22. Choice of Law. This Road Association Agreement,and its interpretation,shall be governed <br /> exclusively by its terms and by the laws of the State of Colorado and the Act. <br /> 23. Severability. If anyprovision of this Road Association Agreement or the application thereof <br /> to any Person or circumstance shall be invalid,illegal or unenforceable to any extent,the remainder <br /> of this Road Association Agreement and the application thereof shall not be affected and shall be <br /> enforceable to the fullest extent permitted by law. <br /> Page 3 of 8 <br />
