EXHIBIT N <br /> SOURCE OF LEGAL RIGHT TO ENTER <br /> CONTRACT <br /> This Agreement is entered into this Q day of December, 2016, by and between DENNIS <br /> AND ENNIS PERRINO (OWNER), whose address is 13395 State Highway 69, Walsenburg, <br /> Colorado 81089 and COLORADO CRUSHING, INC. (BUYER), whose address is 7707 3R <br /> Road, Beulah, Colorado 81023. <br /> 1 . Owner grants, sells, and conveys to Buyer the exclusive right to mine, process and <br /> remove from the property described below (the Property) all rock, aggregate sand, clay <br /> and other related earthen materials in, on and under the Property (the Material). <br /> 2. The term of this Agreement shall run for a period of fifteen(15) years commencing oil <br /> the date the Buyer has obtained all necessary governmental approvals and permits. Buyer <br /> will obtain all necessary permits from the Colorado Division of Reclamation and shall <br /> conduct its operation in accordance with such permits. <br /> 3. Buyer shall pay Owner a royalty o per ton for gravel removed and for all <br /> other Material that is removed and sold. The tonnage will be calculated based on the <br /> scale weight of each load of Material removed from the premises. It is understood that <br /> Buyer may stockpile Material and payments thereon are not payable until removed from <br /> the premises. Buyer's royalty payments are due by the 30"' of each month following the <br /> month in which the Material has been removed from the premises. <br /> 4. Owner shall have the right during business hours and upon reasonable notice to check the <br /> books and records of Buyer for the purpose of verifying the amount of production and of <br /> royalties payable. Buyer shall forward to Owner monthly reports showing the quantity of' <br /> 56 <br />
