Subcontract—December 2,2015 <br /> IHC and Ames Construction, Inc. <br /> Page 10 of 11 <br /> 19.The Subcontractor shall, at its own expense,conform to the safety policy and environmental permits and plans <br /> of the Contractor. Subcontractor shall comply with OSHA and state-equivalent standards and environmental <br /> requirements and shall indemnify Contractor from any failure to do so, including fines and abatement costs <br /> and delays to the project. Failure to comply shall be a breach of this Subcontract and subject to the rights of <br /> the Contractor set forth in this Subcontract Agreement. <br /> Subcontractor shall designate an on-site safety supervisor who will ensure Subcontractor's compliance with <br /> all Contract safety, environmental and security requirements. The Subcontractor's safety supervisor shall <br /> keep IHC's safety supervisor informed of all Subcontractor's activities. <br /> 20. Subcontractor shall designate an on-site quality control representative who will ensure Subcontractor's <br /> compliance with all Contract specifications regarding quality of work. The Subcontractor's quality control <br /> representative shall keep Contractor's Quality Control Representative informed of all Subcontractor's <br /> activities and any relevant quality control issues. <br /> 21, Subcontractor shall not disrupt Contractor access to work area of the Contractor or other subcontractors <br /> without prior written approval from the Contractor. <br /> 22. The Subcontractor shall not assign or involve any lower-tier subcontractors with this Subcontract,or any part <br /> hereof or interest herein, without first obtaining the written consent of the Contractor. Such consent should <br /> not be unreasonably-withheld. <br /> Subcontractor agrees that any subcontracts or material agreements made by it to others shall include <br /> provisions requiring adherence to the terms and conditions of the Contract in same fashion as do the terms <br /> and conditions of this Subcontract. <br /> Subcontractor may not assign or attempt to assign any funds accrued or to accrue under this Subcontract <br /> without first obtaining the written consent of the Contractor and no such assignment shall be binding upon the <br /> Contractor unless and until it is accepted in writing by the Contractor. <br /> 23.This Subcontract Agreement is contingent upon the Contractor receiving award of the subject Contract. In the <br /> event the Contractor does not receive award of this Contract, this Agreement will become null and void; and <br /> the Subcontractor agrees to hold the Contractor harmless from any damages incurred by the Subcontractor as <br /> a result of the Owner's failure to award the Contract. If the Owner shall terminate the Contract or shall stop or <br /> suspend work under the Contract or if the Owner shall fail to pay when due any sum payable under the <br /> Contract, Contractor may order Subcontractor to stop or suspend work hereunder; and Contractor shall be <br /> liable to Subcontractor for any such stoppage or suspension only if and to the extent that the Owner shall be <br /> liable to Contractor under the Contract. <br /> 24. Subcontractor will inform the Contractor in writing, prior to the commencement of work, of the <br /> Subcontractor's designated field representative or agent to whom all field communications and <br /> correspondence will be directed. It is understood and agreed by both parties that the field representative or <br /> agent which the Subcontractor so designates shall have full power and authority to act on behalf of the <br /> Subcontractor and bind the Subcontractor by his actions, approvals, correspondence, etc., unless such <br /> authority is expressly limited by the Subcontractor in writing. The Subcontractor shall inform the Contractor <br /> immediately and in writing of any change in such personnel for the duration of the subject project. <br /> Any notices made under this Subcontract shalt be in writing and may be served personally on the designated <br /> representative of the other party at the project location by facsimile transmission to the jobsite offices and/or <br />
