Scout Investments,LLC has applied for permission to take over operations at the captioned sand and gravel mine,located in Part
of Sections 23,26,34 and 35,Township 4 North Range 67 West of the 61h PM,Weld County.CO. DCP midstream owns
structures within 200 feet of the mining area that was permitted in 2000. DCP signed a Damage Reimbursement Agreement with
the former permittee,Platte Sand&Gravel,in 2008. Regulations of the Division of Reclamation Mining and Safety require that
Scout Investments,LLC obtain a ratification of that previous agreement as part of the documentation contained in its application
for succession of operatorship. A copy of that previous agreement is attached.
Scout Investments,L.L.C.agrees to reimburse DCP Midstream LP for any damage done to any DCP structures located in the
easements or rights of way listed below as a result of proposed mining operations on the captioned permitted area.

Nonexclusive pipeline right of way grant recorded at Reception No.3690973;
Your notarized signature in the space provided below will satisfy the DRMS reimbursement agreement requirement.
Please return the signed letter by April 30,2016 so we can provide it to the Division of Reclamation Mining and Safety.
