ingress to and egress from the Leased Property for the Lessee's employees, agents, guests <br /> and invitees, its or their suppliers of materials and furnishers of service, and its or their <br /> equipment,--vehicles,-machinery and--other property; and- no fee,--charge- or toll--shall -be-- - <br /> charged directly or indirectly for access rights. In the event that any such fee, charge or toll <br /> shall be imposed upon Lessee other than reasonable haul road maintenance expenses, then <br /> Lessee may deduct such fee. charge, or toll expenses; from any payments otherwise due <br /> Lessor. Lessee shall be allowed to install gated and locked access as it may require to <br /> properly safeguard equipment, products and work area. <br /> 11. Federal, State and Local Law. Lessee agrees to comply with all applicable federal, <br /> state and local statutes, regulations and standards, including but not limited to applicable <br /> statutes, regulations and standards relating to mining of the Leased Substances; air, water <br /> and land pollution; disposal of liquid, solid and/or hazardous waste; and workers and <br /> unemployment compensation, <br /> 12. Indemnification of Lessor. Lessee shall indemnify and hold harmless Lessor and its <br /> heirs, successors, and assigns, and the Leased Property, from claims, actions, or causes of <br /> action arising out of or relating to any damage, or injury, including death of any person, or <br /> damage to property of any kind resulting from or connected with the activities of Lessee on <br /> the Leased Property pursuant to this Lease Agreement or resulting from the use or misuse of <br /> the Leased Property by Lessee, its agents or employees holding under Lessee, or any <br /> person entering the Leased Property under the invitation of Lessee. However, Lessee need <br /> not indemnify or save harmless Lessor, his officers, agents, heirs, successors, assigns, <br /> relatives and employees from costs or damages to the extent resulting from the negligence <br /> or intentional acts of Lessor or his agents, contractors, other lessees, invitees, trespassers, <br /> heirs, successors, assigns, and employees. <br /> 13. Repairs and Maintenance. The Lessee covenants and agrees during the term hereof <br /> that the Lessee shall not permit rubbish, debris, waste materials, or anything detrimental to <br /> health, or likely to create a fire hazard to remain on any part of the Leased Property or to be <br /> disposed of improperly. The term "waste material" does not include raw or processed <br /> material stockpiled for sale or reclamation purposes. Any required maintenance of any <br /> shared access road to the Leased Property shall be shared equally. Lessee shall promptly <br /> repair any fence or gate Lessee damages. <br /> 14. Taxes. <br /> 14.1 Lessor shall be responsible for and pay any and all gravel taxes due for all <br /> Leased Substances mined or extracted from the Leased Property (if any). <br /> 14.2 Lessee shall be responsible for all taxes such as occupational taxes, and <br /> income taxes that arise as a result of its mining operation. <br /> 14.3 Lessor shall remain responsible for income taxes for royalties paid and for all <br /> property taxes installments of special assessments, mortgages, lease payments, <br /> royalties, and all other taxes, duties, liens or encumbrances related to the Leased <br /> Propert during the term of this Agreement. <br /> 15. Taxes, Li uses.
