VIII. PAYMENT OF TAXES <br />Lessors agree to pay all real estate taxes levied against the Leased Property before <br />they become delinquent. In the event that the Lessors fail to pay the taxes, Lessee may, at <br />its option, pay any taxes and assessments that may be levied against the Leased Property <br />and deduct the amount of tax payments, together with any penalties or interest required to <br />be paid, from any amount due or to become due to Lessors. <br />IX. REMOVAL OF IMPROVEMENTS AND EQUIPMENT <br />All improvements and equipment placed on the Leased Property by Lessee, <br />except fences, gates, and cattle guards ("Lease Improvements"), shall remain the property <br />of Lessee, and Lessee shall have the right to remove the Lease Improvements prior to the <br />expiration of this Lease so long as no Monetary Default (defined below) exists. On <br />termination of this Lease for any cause other than (a) a failure to pay any amounts due to <br />Lessors hereunder, ("Monetary Default") , Lessee shall have the right to remove all such <br />Lease Improvements and equipment within one hundred twenty (120) days from the date <br />of termination except fences, gates, and cattle guards. If the Lease is terminated for a <br />Monetary Default, upon cure of such Monetary Default , Lessee shall then have the right <br />to remove all such Lease Improvements and equipment within sixty (60) days thereafter, <br />except fences, gates, and cattle guards. Lessee shall have one hundred twenty (120) days <br />from the date of termination to remove any materials mined and processed but not <br />removed on the date of termination subject to payment of royalties as provided in this <br />Lease. <br />X. INDEMNIFICATION <br />Lessee shall defend, indemnify and hold harmless Lessors, their heirs and assigns (the <br />Indemnitees) from and against all liability, claims, damages, loss and expenses of any <br />nature, including but not limited to attorneys' fees, arising from injury to persons or <br />property (including the Leased Property and adjacent property) to the extent caused in <br />whole or in part by any debt, act or omission of Lessee, its agents or employees relating <br />to Lessee's operations and presence on the Leased Property. In any and all claims against <br />the Indemnities by any employee of Lessee, anyone directly or indirectly employed by <br />Lessee or anyone for whose acts Lessee may be liable, the indemnification obligation <br />shall not be limited in any way by any limitation on the amount or type of damages, <br />compensation or benefits payable by or for Lessee under workers' compensation acts, <br />disability benefit acts or other employee benefit acts. Lessors agree to indemnify Lessee <br />against liability, including any resulting costs and/or attorneys' fees, for any breach of the <br />warranties set forth in Section XVII. <br />United/Sheridan Family Gravel Lease 6 <br />
