S. IDEMNIFICATIONS: Lessee accepts all responsibility for any and all <br />liabilities involved in the crushing and removal of gravel from the premises. <br />Lessee agrees to indemnify Lessor against liabilities on all claims for damages <br />and injuries to persons or property that are claimed to have resulted from the <br />activities or omissions of Lessee or its agent or employees during the term of <br />this lease or any extension or renewal thereof, PROVIDED, <br />HOWEVER, that the within indemnity shall not extend to claims for damages or <br />injuries that arise outside of Lessee's activities in the crushing and removal <br />of gravel from the premises. <br />6. CONDITIONS OF PREMISES: Lessee accepts the premises in the condition <br />they now are in and agrees at the termination of this lease or any extension <br />thereof to leave the premises in a neat condition. <br />7. The Lessor hereby warrants that he has good title to the above <br />described premises; that he has the lawful right to grant this lease and that he <br />agrees to hold Lessee harmless from any and all claims from others asserting any <br />interest in the subject land. <br />8. ADDITIONAL CONDITIONS: Lessee reserves the right after termination of <br />the lease agreement to enter the said property for the purpose of reclaiming and <br />seeding as ordered by the Colorado Division of Minerals and Geology. <br />9. In the event that lessor should determine to sell lands, only including <br />the lands encompassed within this lease, Lessee shall have a first right of <br />refusal, upon identical terms and conditions as lessor might have entered into <br />with a potential buyer, to purchase so much of lessors lands as encompass the <br />sand and gravel activities herein contemplated. In the event <br />that Lessee does not exercise the first right of refusal herein granted to <br />it, any sale of lessor's property shall nevertheless be subject to the terms <br />and conditions of the within lease. <br />THIS AGREEMENT contains the complete agreement of the parties and shall not <br />be modified by any verbal statement or otherwise unless in writing signed by <br />the parties. <br />IN WITNESS WHEREOF, the parties have hereunto affixed their signatures <br />as of the date first above written. <br />JE CATTLE LLC, JUSTIN EMICK <br />BY: <br />Lessee (Title) <br />ATTEST: ,✓� <br />I) <br />BY: i I it • /�� / ► f� <br />LESSOR <br />
