failure and Lessee shall have fifteen (15) days from the date it <br />receives notice to pay the amounts owed to Lessor. If Lessee fails <br />to pay the past due amounts to Lessor within the fifteen (15) day <br />period, Lessor may at Lessor's option declare Lessee in default and <br />terminate this Lease and retain the last quarterly Minimum Royalty <br />and any unearned minimum royalty payments, among other <br />remedies available to Lessor. <br />ii. If Lessee defaults in the performance of any obligation hereunder <br />other than the obligation to pay money when due, Lessor may at <br />Lessor's option give written notice of such default to Lessee, and <br />Lessee shall have thirty (30) days from the date it receives such <br />notice to cure the default or, if the default can be compensated for <br />in damages, to pay the full amount of damages to Lessor. If <br />Lessee fails to cure the default within the thirty day period, Lessor <br />may at Lessor's option terminate this Lease. If, through no fault of <br />Lessee, such failure is impracticable to correct within the 30 -day <br />period, Lessor shall have no right to terminate this Lease if Lessee <br />commences in good faith to correct the failure and provided that <br />Lessee diligently pursues and completes the correction within an <br />additional 30 day period. <br />iii. If (i) Lessee shall file a petition for bankruptcy or be adjudicated <br />bankrupt or insolvent, or shall file any petition for any <br />reorganization, arrangement, composition or adjustment with <br />creditors, and the same shall not be dismissed within sixty (60) <br />consecutive days; (ii) Lessee shall abandon the Premises or cease <br />Operations thereon, other than as a result of an event of force <br />majeure, for a period of thirty (30) days; (iii) Lessee shall make or <br />suffer any assignment or voluntary or involuntary transfer of any <br />interest under this Lease in violation of the provisions of this <br />Lease; or (iv) Lessee fails to execute any application or document <br />within Lessee's control, to cause the Permits to be transferred back <br />to Lessor and reissued in Lessor's name upon expiration or <br />termination of this Lease. <br />iv. In the event of default, Lessor may: (i) take the actions listed <br />above; (ii) make any payment required or comply with any <br />condition or agreement required to be performed by Lessee, and <br />Lessor shall have the right to claim and collect all expenses and <br />damages (including but not limited to actual costs related to <br />Lessee's failure to remove the Minimum Take and Lessor's <br />performance of such removal) incurred thereby as additional rental <br />due immediately hereunder; (iii) and recover all damages caused <br />by such breach or default; (iv) recover all costs and expenses <br />incurred in any way or as a�result of such default.
