-7- <br /> of Directors; (f) have general charge of the stock transfer <br /> books of the corporation; and (g) in general perform all duties <br /> incident to the office of Secretary and such other duties as <br /> from time to time may be assigned to him by the President or by <br /> the Board of Directors. <br /> Section 5. Treasurer. The Treasurer shall: (a) <br /> have charge and custody of and be responsible for all funds and <br /> securities of the corporation; (b) receive and give receipts <br /> for monies due and payable to the corporation from any source <br /> whatsoever, and deposit all such monies in the name of the cor- <br /> poration in such banks, trust companies or other depositaries <br /> as shall be selected in accordance with the provisions of these <br /> By-Laws; and (c) in general perform all of the duties incident <br /> to the office of Treasurer and such other duties as from time <br /> to time may be assigned to him by the President or by the Board <br /> of Directors. If required by the Board of Directors, the Trea- <br /> surer shall give a bond for the faithful discharge of his duties <br /> in such sum and with such surety or sureties as the Board of <br /> Directors shall terminate. <br /> Section 6. The Superintendent. The Superintendent <br /> shall have control of the construction, care and management of <br /> the ditch and distribution of water among the several consumers <br /> of the water in the ditch or irrigation system of the company. <br /> He shall in all matters be subject to the order, direction and <br /> control of the Board of Directors. He may employ as many em- <br /> ployees as the Board of Directors may direct and authorize in <br /> the event of an emergency. He shall receive such salary as the <br /> Board of Directors may authorize and determine. <br /> The Superintendent is authorized in the event of an <br /> emergency and his inability to contact the Directors to employ <br /> such persons as shall be necessary to make emergency repairs. <br /> He shall notify the Board of Directors of such employment at its <br /> next meeting, shall present the claims of such persons so em- <br /> ployed, and if the accounts are just and correct the Board shall <br />
