Provide a qualified CCi Crew Leader for offender workers,and who will be responsible to <br /> manage and control all offenders as set forth in this agreement. <br /> 2.3. Term and Termination: <br /> 3.1. This Agreement shall not be effective or enforceable until both(a)it is approved and signed by <br /> the Colorado State Controller or designee and(b)the Lease is effective(hereinafter called the <br /> "Effective Dale').The Parties'respective performances under this Agreement shall commence <br /> on the later of either the Effective Date or March 1,2014,. <br /> 3.2. CCi nay require continued performance for a period of up to nineteen(19)additional one(1) <br /> year periods at the same rates and same arms specified in this Agreement.If CCi exercise&this <br /> option,it shall provide written notice to Operator at had thirty(30)days prior to the end of the <br /> current Agreement tam in form substantially equivalent to Exhibit A,Option Lester.If <br /> exercised,the provisions of the Option Letter shall become part of and be incorporated into this <br /> Agreement.The total duration of this Agreement,including the exercise of any options under <br /> this clause,shall not exceed twenty(20)years. <br /> 3.3. This Agreement may be terminated by either Party,upon thirty(30)days written notice, <br /> delivered to the other Party in accordance with Section 7.1"Notices"below.No cause shall be <br /> required to exercise this right of termination.The requirement of written notice will not apply if <br /> CCi,as its sole discretion,determines the cause for termination creates an immediate threat to <br /> public or offender safety,health or welfare. <br /> 4. Cog andReimbursement: <br /> 4.1. Operator shall pay the per hour/per offender rate of S9.60.This amount includes <br /> transportation,offender supervision,and food. The Parties agree to review the hourly rate on an <br /> annual basis,in order to maintain a relationship to prevailing labor rates in Colorado. A change <br /> in the rate will require formal amendment of this Agreement. <br /> 4.2. CCi will invoice Operator monthly following the service month to the address provided in <br /> Section 7.1"Notices"of this Agreement. <br /> 4.2.1.
