I. <br /> business, affairs, property, financial condition,plans or prospects of the Company nor has he or <br /> she relied on any representations, warranties, agreements or statements in the belief that they <br /> were made on behalf of any of the foregoing, nor has he or she relied on the absence of any such <br /> representations, warranties, agreements or statements in reaching his or her decision to purchase <br /> the Shares. <br /> 8. NONCOMPETITION. Because of the importance of Sellers to the development and <br /> operation of the limestone and gravel quarry mining business of Company (the `Business"), <br /> Purchasers are unwilling to enter into and perform this Agreement unless Sellers agree to be <br /> bound by the restrictive covenants contained in this Section 8. In addition,the parties expressly <br /> recognize that should Sellers compete with Purchasers and Company, the value of the Company <br /> to Purchasers could be severely diminished. The parties also expressly recognize that there are <br /> many other business opportunities available to Sellers. For these reasons, and to induce <br /> Purchasers to enter into this Agreement and for the benefit of Purchasers and the Company, <br /> Sellers agrees that the following restrictive covenants are fair and reasonable. <br /> 8.1 Duration and Extent of Restriction. Sellers shall not,for a period commencing on the day <br /> of Closing and continuing until that date three (3) years from and after the payment or <br /> satisfaction of the Promissory Note in full, within one hundred (100) miles of Craig, Colorado, <br /> engage in a business the same as, similar to, or in general competition with, the Business. The <br /> term "engage in" shall include,but shall not be limited to, activities,whether direct or indirect, as <br /> owner, proprietor, partner, joint venturer, franchisor, stockholder, principal, agent, employee, <br /> consultant or lender. <br /> 8.2 Restrictions with Respect to Customers. In furtherance of, and without in any way <br /> limiting the restriction in subsection 8.1 hereof,for the period specified in subsection 8.1, Sellers <br /> shall not directly or indirectly: <br /> (1) request any present or future customers or suppliers of Company to curtail or <br /> cancel their business with Company or any successor thereto or conduct their business with any <br /> competitor of Company; <br /> (2) disclose the identity of any past, present or future customers of Company to any <br /> other person or entity engaged in a business the same as, similar to or in general competition <br /> with the Business; <br /> SPA Anson TCV Clean 052814 9 <br />
