compliance with the Environmental Laws or with any order issued, entered, promulgated or
<br /> approved thereunder, or which may give rise to any liability, including, without limitation,
<br /> liability under CERCLA or similar state or local laws, or otherwise form the basis of any
<br /> litigation, hearing, notice of violation, study or investigation, based on or related to the
<br /> manufacture, processing, distribution, use, treatment, storage, disposal, transport or handling, or
<br /> the emission,discharge,release or threatened release into the environment,or any Waste.
<br /> 7. REPRESENTATIONS AND WARRANTIES OF PURCHASERS. The Purchasers,
<br /> jointly and severally,represent and warrant as follows,to the best of their respective knowledge:
<br /> 7.1 Power to Execute Agreement. Purchasers have full power and authority to execute,
<br /> deliver and perform this Agreement, which is a legal and binding obligation of them and
<br /> enforceable against them in accordance with its terms, except as enforceability may be limited by
<br /> bankruptcy, insolvency, reorganization, moratorium and other similar laws from time to time in
<br /> effect affecting the enforcement of creditors' rights generally, and except as enforcement for
<br /> remedies may be limited by general equitable principles.
<br /> 7.2 Awreement Not in Breach of Other Instruments. The execution and delivery of this
<br /> Agreement,the consummation of the transactions contemplated hereby, and the fulfillment of the
<br /> terms hereof will not result in the breach of any term or provision of, or constitute a default
<br /> under, or conflict with, or cause the acceleration of any obligation under, any agreement or other
<br /> instrument of any description to which Purchasers are parties or by which Purchasers are bound,
<br /> or any judgment, decree, order or award of any court, governmental body or arbitrator, or any
<br /> applicable law,rule or regulation.
<br /> 7.3 JV Trucking Contract. Purchasers covenant and agree, prior to the Closing Date,
<br /> to enter into a written contract with Janice Kay Edwards, DBA JV Trucking, or her successor
<br /> entity, for the transportation of no less than one-half(1/2) of the tonnage of material provided to
<br /> TSG (as hereinafter defined) under the contract referenced in Section 8(a)(1), below. The
<br /> contract shall be on commercially reasonable terms and conditions, including pricing, payments
<br /> terms,termination rights, etc.,and shall have a full term of no less than five(5)years.
<br /> 7.4 Absence of Representations and Warranties. Purchasers confirm that neither the Sellers
<br /> nor anyone purportedly acting on behalf of Sellers, has made any representations, warranties,
<br /> agreements or statements other than those specifically set forth in this Agreement respecting the
