<br />THIS LICENSE ( "License "), made on 2012, by and between TRI-
<br />STATE GENERATION AND TRANSMISSION A OCIATION, INC., a Colorado
<br />cooperative corporation with offices at l 100 West 116th Avenue, Westminster, Colorado 80234
<br />( "Licensor "), and PINE BLUFFS GRAVEL & EXCAVATING, INC. with offices at 215 Main
<br />Street, Suite B, P.O. Box 609, Pine Bluffs, Wyoming 82082 ( "Licensee ").
<br />WHEREAS, Licensor owns a right -of -way easement for electric transmission lines
<br />( "Easement ") in NW1 /4 Section 27, SEI /4NE1/4 Section 28, SEIA Section 28, NW1 /4NE /1/4
<br />Section 33, NW1 /4 Section 33, NW1 /4SW1 /4 Section 33, all inTownship 9 South, Range 56, West
<br />of the 6th Principal Meridian as more particularly described in Book 284, at Page 45, Reception No.
<br />253827, of the records of Lincoln County, Colorado, recorded the 18th day of December, 1973,
<br />granted by William H. Craig and John F. Craig, Jr., as Trustees for Anne M. Craig as shown on
<br />Exhibit B attached hereto; and
<br />WHEREAS, Licensee has requested permission to mine, operate, maintain and reclaim a
<br />gravel mining area called the Limon Pit.
<br />NOW THEREFORE, in consideration of the sum of One Dollar ($1.00), the receipt of
<br />which is hereby acknowledged, Licensor does hereby grant to Licensee a license to conduct
<br />reclamation and mining activities as shown on the site map attached hereto as attached Exhibit A,
<br />and made a part hereof by this reference ( "Gravel Site Mining Map "), subject to the following terms
<br />and conditions:
<br />1. No future change or expansion of the mining area, as shown on the Gravel Site Mining
<br />Map, as it relates to the Easement, shall be made without prior written approval from
<br />Licensor. Said drawing shall be mailed to Licensor's Land Department, P.O. Box 33695,
<br />Denver, Colorado 80233.
<br />2. It is understood and agreed that the Licensor is the owner of only an easement in the above
<br />described property for the construction, operation, maintenance, and reconstruction of an
<br />electric transmission line, and that the Licensee, its successors and assigns, should obtain a
<br />conveyance from the fee owners of the property.
<br />3. Licensor requires, and Licensee accepts, the following special conditions placed upon this
<br />License:
<br />3.1. Licensee shall notify Tri- State's System Operations Outage Coordinator no less than
<br />fifteen (15) business days (excluding weekends and holidays), before perfonning any
<br />excavation or using any over sized equipment beneath the transmission line. The
<br />Outage Coordinator can be contacted Monday — Friday, 7 AM — 4 PM at 303 -254-
<br />3645. (This notification is necessary to allow Tri - State's Dispatch Control Center to
<br />evaluate operating order needs, issue appropriate orders and allow time to have an
<br />observer /certified switchman at the worksite.)
