Vegetation studies will be performed each year prior to the first hay cutting. WFC will <br />take all necessary steps, and undertake all necessary data collection, to apply for final <br />bond release in year ten of this Agreement, 2024. <br />h. The parties have elected to allow WFC to pay cash to the Morgans in lieu <br />of its obligation under the Coal Lease to install a replacement domestic water well on the <br />Morgan Property. The Morgans shall be authorized to select the location of the new well, <br />and they and their contractor(s) shall be authorized to enter the Morgan Property as <br />needed for the installation of same. All such entries shall be scheduled in advance with <br />WFC and conducted so as to not interfere with other reclamation performed by WFC. <br />i. Pond 1 I on the Morgan Property is to be drained and fully reclaimed as <br />soon as practicable, and in conformity with all approved reclamation plans. <br />7. Contract Farming by Morgans. The Morgans shall have the option, but not the <br />obligation, to perform as independent contractors all farming related activities on the <br />Morgan Property during the Term of this Agreement including, without limitation, <br />planting, plowing, discing, fertilizing, irrigating (including necessary irrigation <br />maintenance), harvesting, rock - picking, fine- grading, fencing, and the like. All such <br />activities on the Morgan Property, whether performed by the Morgans or others, shall be <br />subject to and performed in accordance with the management, direction, and oversight by <br />WFC. At all times WFC shall retain ultimate responsibility for attaining reclamation of <br />the Morgan Property, as provided by the approved Mining Permit. When the Morgans, <br />or others perform such farming related activities they will be allowed access to the <br />Morgan Property as necessary to perform the activities, as authorized by WFC. <br />a. Should the Morgans choose not to perform any or all of the farming <br />related activities, WFC will endeavor to select another contractor agreeable to the <br />Morgans to perform said activities. The Morgans option to perform any or all farming <br />related activities is not assignable without WFC's prior agreement and written consent, <br />which shall not be unreasonably denied. However, the Morgans, in their sole discretion, <br />shall be entitled to hire contract labor to assist in farming and reclamation tasks to the <br />extent dictated by the work load established by WFC. <br />b. Contract farming work by the Morgans will be paid at rates and charges <br />which are equal to those paid by WFC for equivalent services on other lands as provided <br />by its other farming contractor. The current fee schedule for those services is attached as <br />Exhibit 8, and shall be revised to current market rates no later than two (2) years from the <br />Effective Date of this Agreement. Payment shall be made no later than thirty (30) days <br />from verification of completion as to each task ordered by WFC. <br />C. The Morgans shall be entitled to harvest and retain all crops produced <br />from the Morgan Property for the Term of this Agreement. <br />8. Inspection/Entry /Information Requests. From time to time the Morgans shall be <br />permitted to inspect the Morgan Property or adjacent parcels controlled by WFC to the <br />(001596572 ) <br />
