The Overland Reservoir (Reservoir) is located at elevation 9,900 feet and is15 miles north of
Paonia, in Delta County. The reservoir is operated by the Company for the benefit of the shareholders
by providing irrigation water from storage throughout the irrigation season. The current Reservoir
capacity is 6,200 acre-feet and this project will increase the reservoir storage to its conditionally
decreed capacity of 7,171 AF. The Project is expected to cost $1,255,555 and be constructed in the
summer and fall of 2007. See attached Project Data Sheet for a location map and a project summary.

Backqround

The Reservoir provides irrigation water to several areas within the North Fork of the Gunnison River
basin including lands in the Redlands Mesa and Rogers Mesa areas west of Paonia. The Company
delivers the water through about 28 miles of combined stream channels and transmission ditches.

Overland Dam was originally constructed in 1905 and was enlarged several times between 1905 and
1950 to a capacity of 6,120 AF. In 1957, a section of the dam exhibited signs of distress (cracking,
subsidence and slope movement). The storage was subsequently restricted by the Colorado State
Engineer's Office (SEO). In 1987, the dam was rehabilitated and the spillway was rebuilt and enlarged
in conformance with SEO dam safety regulations. The rehabilitation costs were funded by a
combination of loans from CWCB and U.S. Bureau of Reclamation (USBR). The storage capacity of the
reservoir after rehabilitation was 5,828 acre-feet. This left 292 AF of the previous absolute storage
decree un-restored, as well as an additional conditional decree of 1,051 AF that was not stored

Flood Protection.
