<br />, <br /> <br />WHEREAS, the selection of the Contractor by the State was <br />conducted in compliance with sections 24-30-1401 through 1408 of e <br />C.R.S., 1988 & 1991 Supp. ("Part 14"), for negotiation of <br />consultation contracts; and <br /> <br />WHEREAS, the Contractor was selected as the most highly <br />qualified among no less than three persons ranked in order and <br />deemed to be most highly qualified to perform the required <br />professional services based on factors listed in Section 24-30- <br />1403, C.R.S.; and <br /> <br />WHEREAS, the Contractor shall perform services involving the <br />practice of engineering as defined in Section 12-25-102 (10), <br />C.R.S.; and <br /> <br />WHEREAS, all personal services contracts with the State are <br />subject to immediate termination as a result of court orders in <br />the cases of Colorado Association of Public Emplovees ("CAPE") <br />v. Department of Personnel. CAPE v. Department Hiqhwavs. and <br />CAPE v. Reqents of the Universitv of Colorado. <br /> <br />NOW THEREFORE, it is agreed by the parties hereto as <br />follows: <br /> <br />A. The Scope of Services, Project Schedule, and Work Products <br />are defined in Exhibits A, B, and C, respectively, which <br />Exhibits are attached and incorporated herein. <br /> <br />B. The Contractor agrees that it shall: <br /> <br />e <br /> <br />1. Conduct an analysis and prepare a final report in <br />accordance with the Scope of Services, Exhibit A. The Scope of <br />Services shall not be modified without written amendment to this <br />agreement. <br /> <br />2. Cause this project to be fully completed by June 30, <br />1993. Work will progress pursuant to the guidelines set out in <br />the Project Schedule, Exhibit B. In its sole discretion, the <br />State may grant a written extension for the time of completion <br />of the project. <br /> <br />3. Provide the State with the number of copies of the Work <br />Products as stipulated in Exhibit C. Provide the State with a <br />preliminary report, summarizing the results of tasks 1 through 4 <br />by March 1, 1993. A draft study report will be due to the State <br />on June 1, 1993. The final study report will be due to the <br />State on June 30, 1993. All delivery dates specified herein are <br />contingent on the State issuing a Notice to Proceed with the <br />study on or about November 23, 1992 and will be adjusted <br />accordingly if this contract has not been executed by the State <br />on or about that date. <br /> <br />e <br /> <br />Page 2 of I Pages <br />
