<br />My finn now represents the Model Land and Irrigation Company. The company was
<br />previously represented by Kevin Pratt, who previously wrote to you with respect to the Trinidad
<br />Project and the Model Company. Mr. Pratt is closing his office, and we are now representing the
<br />Model Company and the Estate of John T. Oxley on this matter.
<br />
<br />Mr. Pratt wrote to you on December 16, 1996, with comments and requests, and with
<br />enclosures. We understand that your office never responded to his letter and other information,
<br />other than by sending a copy of the Final Report to him. In spite of the significant interest which
<br />the Model Company has in the subjects of the Final Report, and the revisions of the Operating
<br />Principles, your office neither notified the Model Company of, nor involved the Model Company
<br />in, the preparation of the Final Report.

<br />Colorado law, injure the water rights of the Model Company, and will constitute a breach of the
<br />contracts between the Model Company and the Purgatoire River Water Conservancy District,
<br />which were previously assented to by the Bureau of Reclamation.

<br />As you are aware, the Estate of John T. Oxley is now the owner of almost all of the
<br />Model Company stock. The Estate is interested in the sale of Model Company water for other
<br />
