<br />:0.. <br /> <br />nj[;7~5 <br /> <br />. <br /> <br />ATIACHMENT 2 <br />EXHIBIT C <br />Page 3 <br /> <br />Licensee and its Sub-Licensees may not adapt, translate, reverse <br />engineer, decompile, or disassemble the Software; nor may the <br />Licensee and Sub-Licensees adapt, or translate the written materials <br />without the prior written consent of Hydrosphere. <br /> <br />Licensee shall be required to enter into a Software Licensing <br />Agreement with each and every Sub-Licensee which Agreement shall <br />incorporate all the provisions of this Software License Agreement. <br />Sub-Licensees are prohibited from transferring the Software to anyone <br />without the prior written consent of Hydrosphere. Furthermore, any <br />authorized transferee of the Software shall be bound by the terms and <br />conditions of this Agreement. <br /> <br />V. TERMINATION <br /> <br />. <br /> <br />This License is effective until terminated. This License or any <br />corresponding Sub-License will terminate automatically without notice <br />from Hydrosphere if Licensee or its Sub-Licensee fails to comply with <br />any provision of this License. Upon termination of a License or Sub- <br />License, only the Licensee or Sub-Licensee whose action resulted in <br />said termination shall return all copies of the Software in its <br />possession to Hydrosphere. <br /> <br />VI. UNAUTHORIZED USE <br /> <br />Licensee and its sub-Licensees recognize that the conversion of <br />the Software from the computing system and format on which it may <br />be installed by Hydrosphere, at the time of acceptance of the Software <br />by Licensee, to an alternate system or format may result in the <br />introduction of errors and anomalies. In the event the Software is so <br />converted subsequent to acceptance by Licensee, Licensee assumes all <br />risks associated therewith and agrees to release Hydrosphere from <br />liability therefrom. <br /> <br />. <br /> <br />Licensee and its Sub-Licensees recognize that use of or <br />modifications of the Software by anyone other than Hydrosphere may <br />result in adverse consequences which Hydrosphere can neither predict <br />nor control. Therefore, in consideration of Hydrosphere's agreement <br />to deliver the Software, Licensee and its Sub-Licensees agree to <br />release Hydrosphere from liability therefrom. The foregoing <br />
