SOFIWARE UCENSE AGREEMENT
GOVERNING THE USE OF
THE GUNNISON RIVER BASIN PLANNING MODEL

!. GRANT OF UCENSE

In consideration of payment of the license fee, which is an
indistimruishable and inseoarable Dart of the overall fee naid to

Hydrosphere Resource Consultants, Inc. ("Hydrosphere"), for work
described in the Scope of Services section of this Agreement, hereby
grants to
("licensee"), being a project sponsor of the Gunnison River Basin
Water Management and Planning Project, a nonexclusive right to use
and distribute copies of the Gunnison River Basin Planning Model (a
Hydrosphere computer program hereinafter referred to as the
"Software") subject to the limitations described below:

II. DESCRIPTION OF SOF1WARE

The Software consists of several inter-related computer
programs and input data files which are exact copies of the programs
and files developed under the Scope of Services to which this
Agreement is attached. The Software permits the duplication of the
model operations and results described in the User Manual developed
under that Scope of Services. The Software also provides the
flexibility, through read/write access to selected files, to perform a
variety of analyses not presented in the User Manual.

!II. COPYRIGHT PROTECTION

The Software contains trade secrets owned by Hydrosphere and
is protected by United States Copyright Law and must be treated, with
certain exceptions described below, just like a book or any other
copyrighted document.
