Board, commissioned a study and report as to the available and

alternative formal organizations to undertake salinity control

measures in the Grand Valley Unit. On June 10, 1985, William G.

Waldeck,

Esquire,

furnished

his

regarding

formal

report

organizations (Waldeck Report) and identified six essential
qualities2 a non-Federal entity must have in order to be able to

undertake salinity control measures. The Grand Valley Irrigation

Company (Company) was one of the entities identified in the

Waldeck Report as having potential to serve as a contracting

non-Federal entity.

The Company has expressed an interest in

providing such service.

On September 8, 1986, the State of Colorado, acting through

its Water Conservation Board, contracted with the general counsel

for the Company, Nelson, Hoskin, Groves & Prinster, Professional

Corporation, for the purpose of conducting a legal review of the

applicable organizational statutory authority and Articles of

Incorporation,

organizational

Bylaws

and

other

pertinent:

documents of the Company to determine if the Company had the

legal authority and power to acquire real property interests in

the lateral ditches under its system and do such other things as
