<br />This deed, made this iL!!:- day of January, 1999, between Glen C. Wardle and Virginia Wardle (also known as Virginia
<br />L. Wardle) ("Wardles"), whose address is 13200 W. 72'"' Avenue, Arvada, Colorado 80005 and the Town of Georgetown, acting as
<br />the Town of Georgetown Water and Sewer Activity Enterprise ("Georgetown"), whose legal address is 404 6" Street, Georgetown,
<br />Colorado 80444,

<br />WITNESSETH
<br />
<br />Wardles, for and in consideration ofthe sum of TWO HUNDRED THIRTY-SEVEN THOUSAND AND 0011 00 DOLLARS
<br />($237,000.00) and other good and valuable consideration, the receipt and sufficiency of which is hereby acknowledged, have hereby
<br />granted, bargained, sold and conveyed, and by these presents do grant, bargain, sell, convey and confirm, unto Georgetown, its
<br />successors and assigns forever, all right, title, interest, and ownership in the following described water rights:

<br />One and one-half(1 \1,) shares of the Farmers Highline Canal and Reservoir Company, registered in the name of
<br />Glen C. Wardle and Virginia L. Wardle, as further evidenced by Certificate No. 5412 in the amount of 1.00 share
<br />(issuing date May 20, 1981) and Certificate No. 5774 in the amount of 0.5 share (issuing date January 8, 1998),
<br />in the records of the Farmers Highline Canal and ReServoir Company.

<br />One-half share has been used since 1970, and the remaining 1.00 share has been used since 1965 to irrigate pasture hay on 12.7 acres
<br />ofland located in the NWV.NWV., Section 5, T3S, R69W of the 6" P.M. in Jefferson County, Colorado.
<br />
<br />TOGETHER WITH all and singular the hereditament~ and appurtenances thereunto belonging or in any wise appertaining,
<br />and the reversion and reversions, remainder and remainders, rents, issues and profits thereof; and all the estate, right, title, interest,
<br />claim and demand whatsoever of the Wardles, either in law or equity, of, in and to the above-bargained water, water rights. ditch, ditch
<br />rights, and right to the use of waters with the hereditaments and appurtenances,
<br />
<br />TO HAVE AND TO HOLD the said water, water righls, ditch, ditch rights and rights to use the waters above-bargained and
<br />described, with the appurtenances, unto Georgetown, its successors and assigns forever.
<br />
<br />Wardles, for themselves and their heirs, executors, Sltccessors and assigns, do covenant and agree that they shall and will
<br />warrant and forever defend the above-bargained water, water tights, ditch, ditch rights and right to the use ofthe waters in the quiet
<br />and peaceful possession of Georgetown, its successors and assigns against all and every person or persons claiming the whole or any
<br />part thereof, by, through, or under the Wardles.
