AttorlleY. The Board of Directors may appoint an <br />Attorney who shall be a licensed attorney, and who shall be <br />the legal advisor of the Board of Directors. All officers and employees of <br />the District charged lIith the responsibility for custody of any of <br />its funds or property shall give bond at the expense of the District <br />in such sum and IIi th such surety as the Court or the Board of <br />Directors shall dete~mine. <br /> <br />'. <br /> <br />ARTICLB III <br /> <br />COllllITi'BBS <br /> <br />'. <br /> <br />Section 1. General Provisions. The president of the District <br />shall constitute an~ appoint committees, as he~eafter set forth, to <br />adllise and make recommendations, to the Board of Directors and to <br />a8s~st in the Bupervi-sfon, management, and control of the affairs of <br />the. District. The committees which shall be constituted and <br />appointed are the fOllowing, Executive Committee; Employee Wage <br />Committee: Retirement Committee (Employees); Retirement Committee <br />(Board of Directors): Rate and Policy Committee: and Finance <br />Committee. i'hese committees shall be constituted and appointed by <br />the' president at the regular meeting of the Board of Directors held <br />in the month of Mayor June of each year. The ~ommittees shall have <br />the membership, duties, and powers set forth in the remaining <br />Sections of this Article III. <br /> <br />t <br /> <br />~. " . ',~ <br /> <br />Section 2. Meetings and Minutes. <br />a. Meetings. Meetings of each committ"e shall be held at <br />such times and places as the Chairman of the Committee, <br />.with the aPprQval of the President of the Distr,ict" may <br />direct. Special meetings of each ComlUittee may be called <br />by the Chai~man of the Committee or the president of the <br />District, and may be held at any time and place, provided <br />that written notice is delivered to the residence of, or <br />oral notice, is given to, each Committee member at least <br />twenty-four hours prior to the meeting. <br />b. Quorum. A lUajority of each Committee shall constitute a <br />quorum for that Committee, provided that if less than <br />such majority is present at a properly called meeting, a <br />majority of the Committee members present may adjourn the <br />meeting fro~ time to time: and proqided further, that <br />the Chairman of the' Committee shall notify the absent <br />members of the time and place of sucll adjourned meeting. <br />A decision or recommendation of the majority of the <br />Committee members present at a meetin9' at which a quorum <br />is present shall be the decision or recommendation of the <br />Committee. <br />c. Minutes. ~ach Committee shall maks and keep written <br />minutes of its proceedings. <br /> <br />Section 3. Executive Committee. <br />a. Membership. The Executive Committee shall consist of the <br />current President, ~ice-President, secretary, Assistant <br />Secretary, and Treasurer of the Districtl together with the <br />immediate past-President of the Diat"ict. The. current <br />President of the District shall serve as the Chairman of <br />the ~xecutivs Committee. <br />'b. Duties and powers. i'he Executive Committee shall work with <br />and advise the Manager of the District on urgent matters <br />when the full Board of Directors cannot be celled together, <br />and may advise and counsel the District's staff on the <br />day-to-day operations of the District.
