Promissory Note and support documents (the "Contract") in order to finance the <br />Governmental Agency's cost of its purchase of the Hay Gulch wells, which includes a <br />tract of land consisting of 640 acres, more or less, the rights to all water wells located on <br />the land, and a perpetual lease at a total cost of approximately $3,132,500, hereinafter <br />referred to as (the "Project"). <br /> <br />In our capacity as counsel, we have examined the Constitution and laws of the State of <br />Colorado applicable to the Governmental Agency, We have also examined originals or <br />copies of the above-referenced Loan Contract, Promissory Note and support documents, <br />which include the appendices attached thereto, and we are of the opinion that: <br />
