<br />. <br /> <br />. <br /> <br />C. COMPENSATION <br /> <br />Engineer agrees to perform the work within the costs set out in the estimated project <br />costs descriptions contained in Exhibit A, attached and incorporated herein. Costs are <br />estimated by task for project management purposes and, by mutual agreement of the State and <br />Engineer, may be reassigned from one task to another. Maximum compensation to Engineer <br />available under this contract, and the firm fixed price for all services, is $ 80,685.00. <br /> <br />To allow for a proper review of task work products by the State and responses to that <br />review by Engineer, the State will not approve billings which exceed 95 percent of the task <br />budget until all draft work products associated with the task have been provided to the State for <br />review. After that point, the five percent is to be used by Engineer to respond to comments <br />generated by the State review of said work products. <br /> <br />The estimated costs for tasks are based on Engineer's best judgement of the expenses that <br />will be incurred associated with the attached detailed scope of services. It is recognized that <br />the State may require additional activities not contemplated at the time of scope preparation and <br />that these additional activities may require adjustments of cost estimates and schedules and will <br />be routed through an amendment. <br /> <br />The Engineer agrees this is a time and materials contract. Engineer's invoice statements <br />will be provided monthly to the State itemizing hourly charges by person and other direct <br />costs. Hourly rates and rates for other direct costs to be used by Engineer are provided in <br />Exhibit B (attached and incorporated herein). Billable rates for individuals not listed in Exhibit <br />B will be negotiated between Engineer and the State and incorporated through the amendment <br />process. All payments are due within 30 days of the invoice date. <br /> <br />Ten (10) percent of each invoiced amount will be retained by the State and provided to <br />Engineer within thirty days of the completion of the Contract. Contract completion includes <br />delivery of the work products specified in the Scope of Services (Exhibit A) and acceptance of <br />those products by the State. It is recongized that the State may require additional activities not <br />contempleted at the time of scope preparation and that these activites may required adjustments <br />of schedule and will noted through the amendment process. Under this circumstance, the <br />retained fees associated with this original contract shall be payable with 30 days of completion <br />of the scope of work included in Exhibit A. <br /> <br />D DELIVERABLES <br /> <br />Engineer shall deliver the following quantity of products [0 the State which have been <br />specified in the attached scope of services: <br /> <br />1.
