<br />" <br /> <br />. <br /> <br />. <br /> <br />7. Representations. <br /> <br />A. Box Springs' Remesentations. Box Springs and the Contracting Shareholders jointly <br />and severally represent and warrant to HCWUA that as of the date of execution and as of the date <br />of closing of this Agreement, and also as of the date deeds to the HCWUA Box Springs Water Right <br />are to be delivered to HCWUA: <br /> <br />(I) There are no actions, proceedings or investigations pending or threatened <br />against Box Springs or any of the Contracting Shareholders which would interfere with the ability <br />of Box Springs and the Contracting Shareholders to fully perfonn their obligations under this <br />Agreement. <br /> <br />(2) Box Springs has the authority to enter into this Agreement. <br /> <br />(3) The HCWUA Box Springs Water Right has been beneficially used, has not <br /> <br /> <br />been abandoned in whole or in part and is not currently the subject of an abandonment proceeding, <br /> <br />B. HCWUA's R~resentations. HCWUA hereby represents and warrants that as of the <br />date of execution and as of the date of closing of this Agreement, HCWUA has the authority to enter <br />into this Agreement, and that HCWUA shall diligently pursue the application for loan and/or grant <br />funds from the CWCB. <br /> <br />8. Conditions Precedent to HCWUA's Obligation to Close. <br /> <br />A. The following are conditions precedent to HCWUA's obligation to close under this <br />Agreement, unless waived by HCWUA: <br /> <br />(I) All of the representations, covenants and warranties made by Box Springs and <br />the Contracting Shareholders in this Agreement are true and correct as of the date of closing. <br /> <br />-7- <br />
