In making this release, Box Springs and the Contracting Shareholders acknowledge <br />and agree that they have relied on their own review, and not on any representation or statement by <br />HCWUA, of the merits of any claims that they may have against HCWUA or other parties. <br /> <br />6. Closing. <br /> <br />A. Time. Date and Place. The time and date of closing under this Agreement shall be <br />10 days after the satisfaction of all contingencies under paragraph 6. I of the Settlement Agreement <br />and the availability of funds from the CWCB, unless the parties otherwise agree. The place of <br />closing shall be at the offices of Parcel, Mauro, Hultin & Spaanstra, P.c., 1801 California Street, <br />Suite 3600, Denver, Colorado 80202 unless the parties may otherwise agree. <br /> <br />B. Closing Documentation and Requirements. <br /> <br />(l) At closing, HCWUA shall deliver $520,000, less the amount of any rental <br />payments theretofore made by HCWUA under the Lease, in certified funds or same-day wire transfer <br />funds to the escrow agent described in the attached Escrow Agreement, pending final Court <br />Approval of the plan for augmentation submitted tt) the Water Court by HCWUA (the "HCWUA <br />Augmentation Plan") and pending satisfaction and full performance of any other conditions and <br />warranties contained hereunder. <br /> <br />(2) At closing, the Contracting Shareholders shall deliver to the escrow agent one <br /> <br /> <br />or more good and sufficient general warranty deeds and one or more assignments conveying the <br /> <br /> <br />HCWUA Box Springs Water Right to HCWUA free and clear of all liens and encumbrances other <br /> <br /> <br />than the potential adjustments to the amount to be conveyed, as described in paragraph 2 above. <br /> <br />-6- <br />
