To the best of our knowledge and after such investigation as we have <br />deemed appropriate, the authorization, execution and delivery of the Loan <br />Coniract by the District and Enterprise will be in accordance with the <br />Colorado Constitution and other laws of the state of Colorado, and there are <br />no provisions in the Colarado Constitution or any other state or local laws <br />that would prevent this Loan Contract form binding the District of <br />Enterprise. <br />5.
